Club 32 Terms and Conditions
Effective Date: November 4, 2026
These Terms and Conditions (“Terms”) govern enrollment in and use of products and services provided by Club 32, Inc. (“Club 32,” “we,” “us,” or “our”).
These Terms apply to Club 32 Elite, Study Club Management, Study Club Membership, and other Club 32 products or services. Certain provisions apply only to specific plans or services, as indicated.
By creating an account, enrolling in a Club 32 plan, or using Club 32 services, you agree to these Terms.
1. Club 32 Services
Club 32 provides products and services that may include website design and management, search engine optimization, digital marketing, referral-growth services, study club management, continuing education programs, membership services, webinars, and related professional services.
The services, features, pricing, billing frequency, and other terms applicable to you are determined by the plan or service you select during enrollment and, where applicable, any separate proposal or written service agreement between you and Club 32.
If these Terms conflict with a separate written service agreement between you and Club 32, the separate service agreement will control with respect to the conflicting provision.
2. Account Information
You agree to provide accurate and current information when creating your Club 32 account.
For practice-based plans such as Club 32 Elite and Study Club Management, the organization or practice identified during enrollment will generally be the primary customer account, and the individual enrolling will generally be designated as the primary contact unless otherwise arranged.
You are responsible for maintaining the confidentiality of your login credentials and for activity occurring through your account. Individual users should maintain their own login credentials and should not share passwords.
3. Subscription Billing and Automatic Renewal
Paid Club 32 plans are recurring subscriptions unless otherwise stated.
By providing a payment method and completing enrollment, you authorize Club 32 and its payment providers to charge your payment method for:
- recurring subscription fees;
- authorized add-ons;
- applicable taxes; and
- other charges you have agreed to.
Your subscription will automatically renew at the applicable billing interval until canceled in accordance with these Terms or an applicable service agreement.
Your payment method may be stored securely by Club 32’s payment provider for future recurring charges.
The price, billing frequency, and amount due at enrollment will be displayed during the enrollment process.
4. Promotional and Introductory Pricing
Club 32 may offer introductory rates, discounts, or promotional pricing from time to time.
When a promotional rate applies, the enrollment process will identify the discount, its duration, and the regular subscription price that will apply after the promotional period ends.
For example, a Club 32 Elite customer may receive an introductory discount for a specified number of monthly billing periods and then automatically continue at the regular Club 32 Elite subscription price.
Promotional pricing applies only as stated at the time of enrollment and does not permanently change the regular price of the applicable plan.
5. Club 32 Elite and Study Club Management
Club 32 Elite and Study Club Management are practice-based subscription services.
The specific services included in these plans are described during enrollment and may also be addressed in a separate service agreement.
Unless otherwise stated, these plans currently include capacity for up to 20 active sponsored Study Club Members.
Additional sponsored Study Club Members may be added in 5-member packs at $99 per month per pack.
The number of required additional-member packs may increase or decrease based on the number of active sponsored Study Club Members associated with the sponsoring practice.
Where practical, changes to recurring additional-member charges will be applied in connection with an upcoming subscription renewal rather than as a mid-cycle adjustment.
6. Study Club Membership
Study Club Membership may be purchased directly by an individual dentist or provided through sponsorship by a participating dental specialist or practice.
Self-paid Study Club Membership may be offered on monthly or annual billing terms. The applicable price and billing period will be displayed during enrollment.
Membership benefits may include access to Club 32 study club programming, webinars, continuing education opportunities, communications, recordings, certificates, and other member resources as made available by Club 32.
7. Sponsored Study Club Memberships
A Study Club Membership may be sponsored by a participating Club 32 dental specialist or practice.
While an eligible sponsored membership remains active, the sponsored member will not be charged for that membership.
Sponsored membership is dependent on the sponsoring practice’s continued participation and eligibility.
If sponsorship ends, Club 32 may terminate the sponsored membership after the applicable sponsorship or paid-through period ends.
A formerly sponsored member will not automatically be converted to a paid membership or charged for membership without that member’s affirmative authorization.
Club 32 may offer the member an opportunity to continue membership on a self-paid basis.
8. Continuing Education and Study Club Programs
Club 32 may provide live or recorded educational programs, webinars, surveys, evaluations, certificates, and related continuing education resources.
Eligibility for continuing education credit may depend on attendance, participation, completion requirements, evaluations, or other program-specific criteria.
Club 32 does not guarantee that every course or credit will satisfy every licensing, regulatory, employer, or professional requirement. Participants are responsible for confirming requirements applicable to their own licenses or credentials.
9. Cancellation
Unless a separate service agreement states otherwise:
Monthly subscriptions: Cancellation stops the next scheduled monthly renewal. Access generally continues through the end of the period already paid for.
Annual subscriptions: Cancellation stops the next scheduled annual renewal. Access generally continues through the end of the annual period already paid for.
Cancellation does not automatically entitle the customer to a prorated refund for an already-paid subscription period.
Club 32 Elite and Study Club Management customers may be subject to additional cancellation, notice, project, or termination provisions contained in their applicable service agreement.
10. Refunds
Unless otherwise required by law or stated in a separate written agreement, subscription fees are non-refundable once charged.
Club 32 may issue refunds or credits at its discretion in appropriate circumstances.
Any discretionary refund or credit does not create an obligation to provide similar refunds or credits in the future.
11. Failed Payments
You are responsible for maintaining a valid payment method for paid subscriptions.
If a payment cannot be processed, Club 32 or its payment provider may retry the charge, notify you of the failed payment, request updated payment information, suspend access to some or all services, or take other reasonable steps to collect an outstanding balance.
12. Taxes
Prices displayed by Club 32 may not include applicable sales, use, or other taxes unless expressly stated.
Where Club 32 is required to collect tax, the applicable amount may be added to your invoice or payment.
13. Client Responsibilities
Some Club 32 services require reasonable cooperation from the customer.
Depending on the service, this may include providing information, approvals, access credentials, branding materials, content, scheduling availability, or other items reasonably necessary for Club 32 to perform the services.
Delays in providing requested information or approvals may affect project schedules or service delivery.
14. No Guarantee of Business Results
Club 32 works to improve areas such as online presence, marketing performance, search visibility, referral relationships, study club participation, and practice growth.
Results depend on many factors outside Club 32’s control.
Unless expressly guaranteed in a separate written agreement, Club 32 does not guarantee:
- specific search-engine rankings;
- website traffic levels;
- numbers of referrals or patients;
- study club participation levels;
- revenue increases; or
- other specific business outcomes.
15. Intellectual Property
Club 32 retains ownership of its proprietary systems, software, processes, methodologies, templates, training materials, branding, and other intellectual property unless otherwise agreed in writing.
Ownership and usage rights relating to websites, creative materials, content, domain names, marketing assets, or other work created specifically for a customer may be addressed in the applicable service agreement.
You represent that you have the necessary rights to materials, trademarks, images, content, credentials, and other information you provide to Club 32 for use in connection with your services.
16. Acceptable Use
You may not:
- use Club 32 services for unlawful purposes;
- interfere with the operation or security of Club 32 systems;
- attempt unauthorized access to accounts or data;
- provide materially false or misleading information;
- misuse Club 32 educational content, systems, or member information; or
- use Club 32 services in a manner that violates applicable law or the rights of others.
Club 32 may suspend or terminate access where reasonably necessary to protect Club 32, its customers, members, systems, or legal rights.
17. Communications
By creating a Club 32 account or enrolling in a Club 32 service, you agree that Club 32 may send transactional and service-related communications necessary to administer or deliver your account and services.
These communications may include:
- account confirmations;
- billing and payment notices;
- subscription notices;
- onboarding communications;
- Study Club webinar announcements and reminders;
- event access information;
- continuing education communications;
- certificates and completion notices;
- security notices; and
- other communications related to services you receive from Club 32.
Marketing and promotional communications that are not necessary to provide your Club 32 services will be handled in accordance with applicable law and available unsubscribe preferences.
18. Privacy
Club 32’s collection, use, and disclosure of personal information are described in the Club 32 Privacy Policy, which is incorporated by reference for purposes of providing notice regarding Club 32’s privacy practices.
Payment card information is processed by third-party payment providers and is not intended to be stored directly by Club 32.
19. Third-Party Services
Club 32 may use third-party service providers to deliver portions of its services, including payment processing, membership management, email delivery, hosting, video services, webinar platforms, analytics, and other technology services.
Use of certain third-party functionality may also be subject to the applicable provider’s terms and privacy practices.
Club 32 is not responsible for interruptions or failures caused solely by third-party systems outside Club 32’s reasonable control.
20. Service Changes
Club 32 may modify, improve, replace, or discontinue features or components of its services from time to time.
We will use reasonable efforts to avoid materially reducing the core services included in an active paid subscription without appropriate notice or an alternative arrangement.
21. Limitation of Liability
To the fullest extent permitted by applicable law, Club 32 will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to the use of Club 32 services.
Nothing in these Terms limits liability that cannot legally be limited or excluded.
22. Suspension or Termination
Club 32 may suspend or terminate an account for material nonpayment, misuse of services, unlawful activity, material breach of these Terms or an applicable service agreement, or conduct that threatens the security or operation of Club 32 systems.
Where reasonable, Club 32 will provide notice and an opportunity to correct the issue before termination.
23. Changes to These Terms
Club 32 may update these Terms from time to time.
Material changes may be posted on the Club 32 website or otherwise communicated when appropriate.
Unless applicable law requires otherwise, changes will apply prospectively and will not retroactively change amounts already paid or obligations already completed.
24. Governing Law
These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles, except where applicable law requires otherwise.
